Terms of Service

1. Description of Service

CFW Social provides AI-assisted social media content creation and scheduling. The Service enables you to generate content using AI agents, review and approve that content, and publish it to connected social media platforms through our publishing partner, Post for Me. Features include workspace management, agent orchestration, media upload, approval workflows, and publishing analytics.

2. Account Registration

To use the Service you must create an account. You agree to:

• Provide accurate and current information during registration.
• Keep your login credentials secure. You are responsible for all activity under your account.
• Notify us immediately at legal@cfw.social if you suspect unauthorised access to your account.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Use the Service to generate, publish, or distribute spam, bulk unsolicited messages, or content that violates the terms of any connected social media platform (including but not limited to Instagram, LinkedIn, TikTok, YouTube, X/Twitter, and Facebook).
• Impersonate any person, brand, or organisation, or create misleading or deceptive content.
• Use the Service to generate content that is illegal, defamatory, harassing, discriminatory, or that infringes any third-party intellectual property rights.
• Attempt to reverse-engineer, scrape, or circumvent any security or access controls of the Service.
• Resell or redistribute access to the Service without our prior written consent.

We reserve the right to suspend or terminate accounts that violate these rules without refund.

4. Platform Terms Compliance

You are solely responsible for ensuring that any content you publish through the Service complies with the terms of service, community guidelines, and policies of each social media platform to which it is published. We are not liable for account suspensions or penalties imposed by third-party platforms as a result of your content or publishing behaviour.

5. Billing and Subscriptions

CFW Social is offered on a monthly subscription basis, processed through Stripe.

• Subscriptions renew automatically each month unless cancelled before the renewal date.
• You may cancel at any time from the billing settings. Cancellation takes effect at the end of the current billing period; we do not offer pro-rated refunds for partial months.
• We reserve the right to change subscription pricing with at least 30 days’ notice. Price changes take effect at your next renewal date.
• Failed payments may result in suspension of your account until the outstanding balance is cleared.

6. Intellectual Property

Your content. You retain ownership of all content you upload or create through the Service. By using the Service, you grant us a limited, non-exclusive licence to store, process, and transmit your content solely for the purpose of providing the Service to you.

Our software. The CFW Social platform, including all code, designs, AI models, and documentation, remains the property of CFW Social. You receive a limited, non-transferable licence to use the Service as described in these Terms.

7. Termination

Either party may terminate the agreement at any time:

• You may cancel your subscription and delete your account at any time from the account settings. Account deletion is subject to our data retention policy (see the Privacy Policy — 30-day grace period applies).
• We may terminate or suspend your access immediately, without notice, if you materially breach these Terms, including violations of the Acceptable Use policy.

Upon termination, your right to use the Service ceases immediately. Your data will be retained for up to 30 days after termination to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or suitable for any particular use. You are responsible for reviewing and approving all AI-generated content before publishing.

9. Limitation of Liability

To the maximum extent permitted by applicable law, CFW Social shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of (or inability to use) the Service. Our total aggregate liability to you for any claims arising under or relating to these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) US $100.

10. Indemnification

You agree to indemnify and hold harmless CFW Social and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or any applicable law or third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
